Legal counsel

Full-time (m/f)

Based in: Luxembourg

Your mission

  • Work on a daily basis with the Group head of legal on all legal aspects of the Group (including corporate law, contract law, employment aspects…)
  • Establishing funds, investment vehicles (Luxembourg and French) for national and international clients
  • You will be involved in the legal activity of the AIFM of the Group
  • Advise on compliance policies and procedures, and reviewing and negotiating investments
  • Work closely with the other offices of the Group
  • You will be in contact with clients and their advisors
  • Coordinate transactions from a legal perspective (acquisition, financing, sale…), in particular assisting with the closing of asset transactions
  • Setting up, administrating and liquidating legal entities, ensuring that their respective activities are in compliance with rules and regulations applicable in Luxembourg
  • Draft and review of various legal documents, including board and shareholder meeting documentation, as well as any kind of agreements, for highly active and transactional fund entities
  • Coordinate with local and foreign advisors in relation with the local underlying entities and assets 

Academic background

  • University degree in Business Law
  • You have ideally successfully passed your bar admissions in Luxembourg/France or you are eligible to be registered on List IV of the Luxembourg Bar
  • Professional experience, 1 - 7 years, gained in an international law firm or similar environment in Luxembourg or France within the fields of investment funds, asset managers and/or corporate
  • Bilingual, full command of French and English
  • Team player, able to work cross-offices with colleagues in different jurisdictions. You are a good communicator and attach great importance to a collegial working environment

Support administratif

  • Organisation du bureau
  • Gestion du planning des rendez-vous et occupation espaces
  • Mailing (courriers internes et mails) divers courriers
  • Rédaction de lettres formelles et de contrats, conformément aux modèles préexistants

Gestion administrative des fonds

  • Suivi de la vie du fonds et de la pré-comptabilité
  • KYC des investisseurs et collecte des bulletins de souscription
  • Suivi des flux financiers
  • Point de contact avec les prestataires, comme la ManCo, la banque dépositaire/transfer agent, les comptables et auditeurs du fonds

Marketing

  • Préparation de présentations marketing et propositions commerciales concernant la structuration de fonds luxembourgeois

RH, contrats fournisseurs, comptabilité

  • Gestion administrative des dossiers RH, accueil des nouveaux entrants, courriers, feuilles de paye
  • Assurer le suivi budgétaire de la direction, traitement des devis, suivi des contrats, saisie et suivi des commandes et factures, gestion des notes de frais, gestion du compte bancaire et paiement des factures.

Réquisits

  • Doté(e) d'une expérience conséquente de minimum 1 an dans un poste similaire dans une entreprise du secteur financier
  • Rigoureux, méthodique et très bien organisé
  • Possède les suivantes qualités : autonomie, rapidité, réactivité, sens des priorités, polyvalence, capacité d'adaptation, sens des responsabilités et du travail en équipe, efficacité, discrétion et aptitudes relationnelles
  • Français et anglais niveau professionnel
